Terms of Service

Mosaic Knowledge Syndicate, LLC (“Mosaic,” “we,” “us,” or “our”) operates the website at mosaicsyndicate.com (the “Site”). These Terms of Service (the “Terms”) govern your access to and use of the Site and the related application, data, and features (together, the “Services”).

1. Acceptance of Terms

By creating an account, accessing, browsing, or otherwise using the Services, you (“you” or “User”) acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Services.

If you use the Services on behalf of an entity, you represent that you have authority to bind that entity, and “you” refers to both you and that entity.

2. Definitions

  • “Content” means any data, record, listing, map, report, export, or other material made available through the Services.
  • “Public Records Data” means data drawn from publicly available sources, including Missouri court filings, county assessor and parcel databases, publicly published obituaries, and licensed third-party providers of public-records- derived data.
  • “Pro account” means a User account with access to the Pro tier of the Services, whether obtained through a paid plan or earned during a pre-launch program.

3. Eligibility

You must be at least eighteen (18) years of age and able to form a legally binding contract under applicable law. By using the Services, you represent that you meet these requirements and that your use does not violate any law or regulation applicable to you.

4. Description of the Services

Mosaic is a research and analytics tool that aggregates Public Records Data and presents it as maps, case lists, and case detail for use by real estate professionals researching probate and pre-probate property.

The Services are a research and analytics tool. They are not a consumer reporting agency product, are not “consumer reports” as defined by the federal Fair Credit Reporting Act (“FCRA”), 15 U.S.C. § 1681 et seq., and are not provided for any FCRA-regulated purpose.

5. Service Status and Changes

The Services are under active development. Features, data coverage, and access tiers may change, and parts of the Services may be offered on a pre-launch or evaluation basis. Such features are provided AS IS, without a service-level commitment, and may be modified or withdrawn at any time.

6. Public Records Data — Source Disclosure and Accuracy Disclaimer

You acknowledge and agree that:

  • Public sources. The Content is derived from publicly available records. Mosaic does not generate, certify, or independently verify the underlying records.
  • No warranty of accuracy. Mosaic makes no representation or warranty, express or implied, as to the accuracy, completeness, currency, reliability, or fitness for any particular purpose of any Content. Public records may contain errors, omissions, name and address mismatches, transcription errors, or stale information.
  • No liability for inaccuracies. Mosaic is not liable for any loss, damage, claim, or expense arising out of inaccurate, incomplete, outdated, or missing data obtained through the Services. You are solely responsible for independently verifying any fact, identity, address, phone number, property description, ownership status, heirship, or legal authority before acting on it.
  • Not professional advice. Nothing in the Content is legal, financial, tax, real estate, or other professional advice. Obtain independent professional advice before relying on any Content for a decision with legal or financial consequences.

7. Limited License to Use Content

Subject to your continued compliance with these Terms, Mosaic grants you a limited, revocable, non-exclusive, non-transferable, non- sublicensable license to access and use the Content solely for your own internal real estate research and acquisition activities.

8. No Sharing, Resale, or Retransmission

You agree that you will not, and will not permit any third party to, copy, reproduce, distribute, publish, transmit, share, lease, license, sublicense, sell, resell, syndicate, scrape, data-mine, ingest into a generative model, or otherwise make the Content (in whole or in part) available to any person or entity that has not entered into its own agreement with Mosaic, except with our prior written consent.

This restriction applies to:

  • individual records, lists, or extracts thereof;
  • derivative works, summaries, or compilations meaningfully based on the Content;
  • any caching, mirroring, or republication of Site material; and
  • any use of the Content to train, fine-tune, evaluate, or otherwise improve a machine-learning model offered to or accessed by any third party.

Internal use by your authorized employees, contractors, and agents who need access to perform work on your behalf — and who are bound by use restrictions at least as protective as these Terms — is not “sharing” with a third party, provided you remain fully responsible for their compliance.

9. Acceptable Use

In addition to Section 8, you agree not to:

  • use the Services for any unlawful purpose or in violation of any applicable law, including the Telephone Consumer Protection Act (“TCPA”), the Telemarketing Sales Rule, the National Do Not Call Registry rules, the CAN-SPAM Act, FCRA, the Gramm-Leach-Bliley Act, the Driver's Privacy Protection Act, and any state telemarketing, consumer-protection, or privacy statutes;
  • use the Content for any purpose regulated by FCRA as a consumer reporting purpose, including credit, employment, insurance, tenant screening, or any decision concerning a consumer's eligibility for credit, insurance, employment, housing, or government benefits;
  • harass, threaten, defraud, stalk, or otherwise harm any individual identified in the Content;
  • reverse engineer, decompile, or attempt to derive the source code or underlying structure of the Services;
  • interfere with, disrupt, or overload the Site or its infrastructure, including by bots, automated scraping, or excessive request rates;
  • misrepresent your identity, authority, or the source of any Content; or
  • circumvent any technical, contractual, or access-control measure imposed by Mosaic.

10. Your Responsibility for Lawful Use

You — and not Mosaic — are solely responsible for the lawfulness of all uses you make of the Content, including any outreach, telephone call, text message, email, mailer, door-knock, or other communication initiated using information obtained through the Services. Mosaic is not liable for any unlawful use of the Content by you, your employees, your contractors, your agents, or any party who obtains the Content from or through you.

You acknowledge that:

  • Missouri statutes do not currently contain a specific prohibition on non-attorney real estate investors contacting heirs or personal representatives during probate administration, but general laws — including TCPA, Do Not Call, consumer-protection, and unfair-trade-practice statutes — apply and may change without notice;
  • if you are a licensed attorney, Missouri Supreme Court Rule 4-7.3 and analogous rules in other jurisdictions may restrict your solicitation activities;
  • any Do Not Call indicators that appear in the Content are informational only, are derived from third-party data, and are not warranted by Mosaic; you must independently verify Do Not Call status and obtain any required prior express consent before placing regulated calls or texts; and
  • it is your responsibility to monitor and comply with all applicable laws and regulations as they evolve.

11. Accounts and Security

You are responsible for the information you provide at signup, for keeping your password confidential, and for all activity under your account. Notify us promptly of any unauthorized use. We may suspend an account we reasonably believe has been compromised or used in violation of these Terms.

12. Intellectual Property

As between you and Mosaic, Mosaic owns all right, title, and interest in the Services, the Site, the look and feel, and any compilation, selection, arrangement, enrichment, or presentation of the Content authored by Mosaic. The underlying public records are not owned by Mosaic, but our compilation of them is protected to the extent permitted by applicable copyright, database, contract, and trade-secret law.

Except for the limited license in Section 7, no rights are granted to you by implication, estoppel, or otherwise. “Mosaic,” “Mosaic Knowledge Syndicate,” and the Mosaic mark are trademarks of Mosaic Knowledge Syndicate, LLC; you may not use them without prior written permission.

13. Your Submissions

If you submit a survey response, comment, suggestion, or other material (a “Submission”), you grant Mosaic a perpetual, irrevocable, worldwide, royalty-free, transferable, sublicensable license to use, reproduce, modify, display, distribute, and create derivative works from the Submission for any lawful business purpose, including improving the Services. You represent that you have the right to provide the Submission and that it does not violate any third-party right or law. We handle survey responses in accordance with the Privacy Policy.

14. Third-Party Content and Links

The Services may include links to, or content from, third parties. Mosaic does not control, endorse, or assume responsibility for any third-party content, product, or service, and your interactions with third parties are solely between you and the third party.

15. Privacy

Your use of the Services is also governed by our Privacy Policy. Mosaic handles personal information, including information derived from public records, in accordance with that policy and applicable law.

16. Copyright Notice (DMCA)

If you believe Content on the Site infringes your copyright, send a notice that satisfies 17 U.S.C. § 512(c)(3) to the contact in Section 23 with the subject line “DMCA Notice.” Mosaic may, in appropriate circumstances and at its discretion, remove material and terminate the access of repeat infringers.

17. Disclaimers of Warranties

THE SERVICES AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, ACCURACY, OR COMPLETENESS.

Mosaic does not warrant that the Services will be uninterrupted, error-free, or secure, or that any defect will be corrected. No advice or information obtained from Mosaic or through the Services creates any warranty not expressly stated in these Terms. Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions, the foregoing applies to the maximum extent permitted by law.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL MOSAIC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR USE; OR ANY DAMAGES ARISING OUT OF INACCURATE OR INCOMPLETE CONTENT OR YOUR UNLAWFUL USE OF THE CONTENT — EVEN IF MOSAIC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

MOSAIC'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, FROM ALL CAUSES OF ACTION, WILL BE LIMITED TO THE GREATER OF (a) ONE HUNDRED U.S. DOLLARS (US$100), OR (b) THE AMOUNTS YOU PAID MOSAIC IN THE THIRTY (30) DAYS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

The parties agree this limitation is an essential basis of the bargain and applies even if a limited remedy fails of its essential purpose. Some jurisdictions do not allow the limitation of liability for incidental or consequential damages; in those jurisdictions, liability is limited to the maximum extent permitted by law.

19. Indemnification

You agree to indemnify, defend, and hold harmless Mosaic, its members, managers, officers, employees, contractors, affiliates, and licensors from and against any claims, demands, actions, liabilities, losses, damages, judgments, settlements, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of, or inability to use, the Services or the Content; (b) your breach of these Terms; (c) your violation of any law, regulation, or third-party right, including TCPA, Do Not Call, FCRA, consumer- protection, or privacy laws; (d) any unauthorized sharing, resale, or retransmission of the Content in violation of Section 8; and (e) any outreach or communication you make using information obtained through the Services.

20. Termination

Mosaic may suspend or terminate your access to all or any part of the Services at any time, with or without cause, with or without notice. You may stop using the Services at any time. Sections 6 through 12 and 15 through 24 survive termination.

21. Modifications to the Terms

Mosaic may modify these Terms by posting a revised version on the Site and updating the “Last updated” date. Material changes will be brought to your attention through reasonable means. Your continued use of the Services after the effective date of a modification constitutes acceptance. Mosaic may modify or discontinue the Services, or any feature, at any time.

22. Governing Law, Venue, and Dispute Resolution

These Terms are governed by the laws of the State of Missouri, without regard to its conflict-of-laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts sitting in St. Louis County, Missouri. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

The parties will first attempt in good faith to resolve any dispute through informal negotiation, initiated by written notice to the contact in Section 23. If the dispute is not resolved within thirty (30) days, either party may pursue remedies as permitted by these Terms and applicable law. Nothing in this Section prevents either party from seeking injunctive or equitable relief to protect intellectual property or confidential information.

Class-action waiver. To the maximum extent permitted by law, you and Mosaic each agree that any dispute will be brought in an individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

Notices to you may be sent to the email or postal address you provide to Mosaic, or posted on the Site.

24. Miscellaneous

  • Entire agreement. These Terms and the Privacy Policy constitute the entire agreement between you and Mosaic regarding the Services and supersede all prior understandings.
  • Severability. If any provision is held unenforceable, the remaining provisions remain in force, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
  • No waiver. A failure to enforce any right is not a waiver of that right.
  • Assignment. You may not assign these Terms without our prior written consent. Mosaic may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.
  • Independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, employment, or fiduciary relationship.
  • Force majeure. Neither party is liable for any delay or failure to perform caused by events beyond its reasonable control.
  • Headings. Section headings are for convenience only and do not affect interpretation.

By using the Services, you acknowledge that you have read these Terms, understand them, and agree to be bound by them.
